NWCUA Board Evolution Set for Implementation This Year

The NWCUA Board of Directors election timeline has been set for this summer from June 23 – July 14, the first election cycle under the new governance model approved by the membership last month.
Board Chair Jack Fallis, president and CEO of Global Credit Union, appointed a diverse Nominating Committee as called for under the new model. The committee consists of one Board member and four non-Board-member CEOs who represent a variety of asset sizes, charters, and areas of representation from across the Northwest. Bob Corwin, president/CEO of Advantis Credit Union in Milwaukee, Oregon will chair the Nominating Committee.
The merger that created the NWCUA called for a review of governance representation after five years. That review took place starting last year, when a Governance Review Task Force was appointed for the job. After several months of work, the task force recommended shifting to an at-large model of representation.
These recommended bylaw changes were accepted by the Board, presented to the membership through a series of town hall meetings across Oregon and Washington throughout 2014, and approved by a vote of the membership last month.
“We are extremely grateful to our member credit unions for their engagement in improving the governance model of the NWCUA,” said Fallis. “We had great conversations across the region and were able to make changes that will strengthen the Association for years to come.”
The new at-large governance model calls for a smaller Board of Directors who are all now seated as “at-large” members, rather than the previous district and asset-size model. The Board will manage the necessary transition from 11 members down to the nine directors called for under the new model by the time of this year’s Annual Membership Meeting to be held in conjunction with Amplify 2015.
The Nominating Committee will carefully and strategically manage an orderly transition, with a view towards diversity and strategic continuity in leadership. Once potential vacant seats are identified, the Nominating Committee will embark upon its charge to maximize the Board’s diversity by actively recruiting qualified Board members. Stang also paused to reflect on the solid strategic leadership, vision and commitment the current and past Board members of the NWCUA and our legacy leagues have brought to the table. “As leaders in their own credit unions, these individuals take time away from their daily work serving their credit unions and additionally make the commitment to serve the Association to benefit all Northwest Credit Unions. Appropriate election materials will be sent to members before the election begins on June 23 and election results will be announced one month later on July 23.
